General Terms and Conditions

House Rules: In addition to any rules, policies and/or procedures that are specific to the Salon Studio used by Subtenant: Subtenant acknowledges and agrees that:

  1. keys, key cards and other such items used to gain physical access to the Premises or the Salon Studio remain Sublandlord’s property;
  2. key FOBs provided to all subtenants require a deposit of Eighty Dollars ($80.00) that will be fully refunded should the key and key FOB be returned in fully functioning order;
  3. Salon Studio sharing is subject to strictly a enforced maximum number of Professionals. All additional Professionals sharing a Salon Studio that desire access to full Indie benefits may be subject to a weekly sharing charge depending on Salon Studio size and designation.
  4. Access Hours - Business hours are established as 8 AM to 10 PM. Please observe these hours - See 5. Security Alarm Rules and Operations below for situations regarding after hours access. Alterations or repairs including moving in or out of a Studio may only be performed on certain days and at certain hours. Please coordinate these activities with Salon Studio management.
  5. Security Alarm Rules and Operations - Monitored, audible, security alarms are armed at 11:59 PM each night and disarmed at 8 AM each morning. Entry using a key Fob during alarmed hours automatically disarms the alarm for that day. Entering a common areas after 11:59 PM, without using a key fob, will result in an alarm activation. If access is required during alarmed times, advance written notification is required for each instance in which access requested.
  6. they shall not use any of the parking spaces situated along and immediately adjacent to all sides of the Premises. Sublandlord reserves the right to strictly enforce this parking restriction by towing any of Subtenant’s vehicles which are parked in violation of this Section at the sole cost and expense of the Subtenant. Sublandlord may from time to time identify “no parking” zones at their sole discretion. Subtenant shall obey all future identified “no parking” areas or zones. Failure to do so will be a breach of this Agreement and Sublandlord may immediately terminate this Agreement.
  7. At Sublandlord’s sole discretion, should Subtenant not adequately maintain the cleanliness of the Salon Studio and the furniture, fixtures and equipment located therein, Sublandlord has the right to clean the Salon Studio and the and the furniture, fixtures and equipment located therein. In the event that Sublandlord must enter the Salon Studio for purposes of cleaning under the Salon Studios House Rules, Sublandlord may, at its discretion, charge Subtenant an additional cleaning fee;
  8. common spaces are to be enjoyed by all subtenants, clients and guests unless otherwise instructed by Sublandlord, and are for temporary use and not as a place for continuous, everyday work.
  9. Subtenant will be responsible for any damage to their respective Studio exceeding normal wear and tear.
  10. should any condition require repair by Sublandlord, Subtenant shall provide Sublandlord with immediate notice, written or via the Indie internet portal (www.indiesalons.com).
  11. Subtenant may not make any structural or nonstructural alterations or installations of wall attachments, ceilings, furniture or antennae in the Salon Studio or elsewhere in the Premises or the Building without prior approval by Sublandlord. In the event that any alterations or installations are made, Subtenant shall be responsible for the full cost and expense of the alteration or installation and, prior to the termination of this Agreement, the removal of such items and the restoration necessitated by any such alterations. To the extent that Sublandlord incurs any costs in connection with such alteration, installation or removal which are not otherwise paid by Subtenant Sublandlord shall deduct such costs from the Service Retainer. In no event is Subtenant permitted to perform any of these actions. Only a member of Sublandlord's facilities staff is entitled to perform an alteration, installation, removal or restoration.
  12. Plumbing fixtures shall be used only for the purposes for which they are designed, and no sweepings, rubbish, rags, or other unsuitable materials shall be disposed therein. Subtenant shall be liable for any damage caused to any such fixtures proven to result from misuse by the Subtenant or Subtenant’s customers.
  13. Subtenants shall lock doors and turn out lights of their Salon Studio at the close of their working day. If the Subtenant is the last to leave the Premises at the close of a working day, Subtenant must lock the exterior doors. All exterior doors shall be kept closed at all times (24 hours a day/7days a week). If any criminal act occurs as a result of that Subtenant’s neglect or oversight in locking the main and secondary doors of the Premises, this Agreement shall be terminated at the discretion of Sublandlord.
  14. Subtenant shall comply with Building Fire Safety Procedures and to participate in all Fire Safety and Emergency Training and Drills in accordance with relevant fire codes.
  15. Subtenant must turn off all appliances containing heating elements, including but not limited to, curling irons, straightening devices, wax pots, coffee pots or any such devices that pose a threat of fire or one that a reasonable person would consider to be a fire hazard. Subtenant must extinguish all candles or any other open flame prior to exiting the Premises.
  16. Signs, advertisements, graphics, or notices visible in or from public corridors within the Premises, or through exterior windows shall be subject to Sublandlord approval. Hallway signage indicating the Subtenant’s Business name and logo will be of uniform size and color and installed at a uniform height. Only White (no other colors) signage of a maximum of 12 inches by 24 inches will be allowed to be installed. No signs, advertisements, graphics, or notices whatsoever shall be affixed to, or visible through the studio windows, either interior or exterior.
  17. Hallways - No card or brochure holders are allowed to be attached to hallway windows, doors or walls or left in common areas. No personal items are allowed to be left in the hallway or common areas outside the Subtenant’s Studio.
  18. Subtenants’ computers, tablets, mobile devices and other electronic equipment must be (i) kept up-to-date with the latest software updates provided by the software vendor and (ii) kept clean of any malware, viruses, spyware, worms, Trojans, or anything that is designed to perform malicious, hostile and/or intrusive operations. Sublandlord reserve the right to remove any device from Sublandlord’s networks that poses a threat to Sublandlord’s networks or users until the threat is remediated;
  19. Subtenant shall hold Sublandlord and its management not liable or responsible for lost or stolen money, jewelry, or other personal property of the Subtenant or Subtenant’s customers in and around the Premises regardless of whether such loss occurs when the areas are locked or unlocked.
  20. Subtenant consents to Sublandlord's non-exclusive, non-transferable use of Subtenant's name and/or logo in connection with identifying Subtenant as a member of Indie Salons, alongside those of other Subtenants, on a public-facing “The Indie’s” display on www.indiesalons.com, as well as in video and other marketing materials. Subtenant warrants that Subtenant's logo does not infringe upon the rights of any third party and that Subtenant has full authority to provide this consent. Subtenant may terminate this consent at any time upon thirty (30) days’ prior notice;
  21. Pets in the Premises must be registered Service Animals. This House Rule also applies to any of Subtenant's clients. Sublandlord reserves the right to restrict any Subtenant's right to bring a pet into the Premises at Sublandlord's sole discretion;
  22. Children are not permitted to be kept at the Premises on a recurring basis or for an extended number of hours on any one day.
  23. Subtenant is responsible for ensuring Subtenant's customers comply with all Salon Studios House Rules.

Subtenants will not:

  1. share or allow access to their Salon Studio with any Professional not listed on the Fundamental Terms page of the sublease for the purpose of conducting business.
  2. perform any activity or cause or permit anything that is reasonably likely to be disruptive or dangerous to Sublandlord or any other Subtenant, or Sublandlord or Sublandlord's employees, guests or property, including without limitation the Premises;
  3. use a hot pot or other cooking appliance to heat or cook food in Subtenant's Studio or any of the Common Areas. There is a microwave oven located in the Breakroom area to be used for such purposes;
  4. solicit or distribute handbills on the Premises.
  5. install or cause installation of cable or other utilities in the Premises without Sublandlord’s written permission.
  6. operate machinery of any kind other than normal salon equipment shall be operated on the Premises without the prior written consent of Sublandlord’s management.
  7. have a live Christmas tree (fire hazard)
  8. use a space heater or portable air conditioner;
  9. use the Services, the Salon Studio, the Premises or the workstations to conduct or pursue any illegal or offensive activities or comport themselves to the community in a similar manner;
  10. misrepresent himself or herself to the Indie Salons community, either in person or through the Indie Subtenant Network;
  11. take, copy or use any information or intellectual property belonging to other Subtenants or their clients or guests, including without limitation any confidential or proprietary information, personal names, likenesses, voices, business names, trademarks, service marks, logos, trade dress, other identifiers or other intellectual property, or modified or altered versions of the same, and this provision will survive termination of this Agreement;
  12. take, copy or use for any purpose the name “Indie Salons” or any of Sublandlord’s other business names, trademarks, service marks, logos, trade dress, other identifiers or other intellectual property or modified or altered versions of the same, or take, copy or use for any purpose any pictures or illustrations of any portion of the Salon Studio or the Premises, without Sublandlord’s prior consent, and this provision will survive termination of this Agreement;
  13. use Sublandlord's mail and deliveries services for fraudulent or unlawful purposes, and Sublandlord shall not be liable for any such use;
  14. make any copies of any keys, FOBs or other means of entry to the salon studios or the Premises or lend, share or transfer any keys or FOBs to any third party;
  15. install any locks to access the workstations or anywhere within the Premises;
  16. bring any weapons of any kind, or any other offensive, dangerous, inflammable or explosive.
  17. Terminate a Sublease without giving 30 days written notice.
